ProLife Home Care, Inc. (ProLife, we, our or us) makes available the website at prolifehc.com and all pages, features, content, forms, resources, articles, service pages, training pages, career pages and contact pages that link to or reference these Terms of Use (the Site).
PLEASE READ THESE TERMS CAREFULLY. BY USING THE SITE OR SUBMITTING INFORMATION THROUGH IT, YOU AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE, DO NOT USE THE SITE.
These Terms apply only to the Site. Care agreements, plans of care, physician orders, Medicaid and health plan documents, employment applications, training enrolment documents and our Notice of Privacy Practices are separate, and they control over these Terms wherever the two conflict.
Section 1Who may use the Site
1.1 Authority. You may use the Site if you can form a binding agreement with us, or with the consent of a parent or legal guardian. If you use the Site on behalf of a family member, a client, an employer, a health plan, a hospital discharge planner or any other person or organisation, you confirm that you have the authority to do so and to give us the information you submit.
1.2 Children. The Site is written for a general audience and is not directed to children. Do not submit information about another person unless you have the legal right to do so.
1.3 What the Site is. The Site describes the services ProLife provides, the counties we are licensed to serve, how care is arranged and what it costs. It is informational. It is not a hospital, a physician practice, an insurance product, a Medicaid eligibility determination, a service authorisation, a plan of care or an offer of employment.
Section 2Calls, texts and email
2.1 Consent to be contacted. When you submit a form, request a call back, give us a phone number or email address, apply for a job or register for training, you agree that we may contact you about your enquiry. If you give a phone number, you authorise ProLife and the services we use to reach you by call or text message, including through automated systems, to the extent permitted by law. Message and data rates may apply.
2.2 Consent is not a condition of care. Agreeing to marketing messages is never required to receive care, employment or training. You can ask us to stop contacting you at any time by replying STOP to a text message or by calling (718) 232-2777.
2.3 Release for calls and messages.
IN CONSIDERATION OF THE SERVICES DESCRIBED ON THE SITE, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE PROLIFE HOME CARE, INC. FROM ANY CLAIM ARISING OUT OF OR RELATING TO CALLS OR TEXT MESSAGES WE SEND YOU, INCLUDING ANY CLAIM UNDER THE TELEPHONE CONSUMER PROTECTION ACT OR ANY SIMILAR STATE TELEMARKETING STATUTE.
THIS RELEASE COVERS CALLS AND MESSAGES ONLY. IT DOES NOT APPLY TO THE CARE WE ACTUALLY PROVIDE, WHICH IS GOVERNED BY YOUR SERVICE AGREEMENT WITH US AND BY THE REGULATIONS THAT APPLY TO LICENSED HOME CARE AGENCIES IN NEW YORK.
2.4 Language. We serve families in many languages. Free language assistance is available; see our Notice of Availability of Language Assistance.
Section 3Using the Site
3.1 Licence. We grant you a limited, revocable, non-exclusive right to use the Site for your own information or to arrange care for a family member.
3.2 Changes and availability. We may change, suspend or remove any part of the Site at any time. We do not promise that it will always be available, uninterrupted or error-free.
3.3 What you may not do. You may not:
- use the Site for any unlawful, fraudulent or abusive purpose;
- submit false or misleading information, or information about another person without authority;
- copy substantial parts of the Site for commercial use, or present our content as your own;
- use robots, scrapers, crawlers, data-mining tools or artificial intelligence training tools to harvest content from the Site, except as permitted by our published crawling instructions or with our written permission;
- interfere with the Site, its security, or any server connected to it;
- impersonate any person, or misrepresent your licensure, credentials or affiliation;
- remove or alter copyright, trademark, privacy or legal notices;
- use the Site or its content to build, train, improve or benchmark a competing service, model or database.
3.4 Links to other websites. The Site links to outside resources: the New York State Department of Health licence listing, Medicaid and health plan pages, federal civil rights pages, Google reviews and similar. We provide those links because they are useful, not as an endorsement of anything else on those sites. We do not control them, we are not responsible for their content or their privacy practices, and visiting them is at your own risk under their own terms.
3.5 Ending access. We may suspend or end your access to the Site at any time, without notice, if we believe it is being used in a way described in 3.3 or in a way that puts other people or our systems at risk. Ending access to the Site has no effect on care already authorised or in progress.
Section 4Our content
4.1 Ownership. The text, photographs, layout, design and code of the Site belong to ProLife Home Care, Inc. or our licensors, except where credited otherwise.
4.2 Personal use. You are welcome to read, print and share pages for your own use or to help a family member arrange care, provided you do not remove notices, alter the material or imply our endorsement.
4.3 Reviews, ratings and awards. Reviews quoted on the Site were written by the people named and published by them on public platforms. They are reproduced with attribution. They describe those families' experience and do not promise a similar outcome for anyone else. The same applies to ratings, the number of families served, awards, certifications and any other figure or credential shown on the Site: they describe what has happened, not what will happen in your case.
4.4 Photographs. Some photographs on the Site are illustrative and do not depict specific clients or employees.
Section 5No medical advice, no care relationship
5.1 General information only. Everything on the Site, including service pages, articles, prices and answers to common questions, is general information. It is not medical, nursing, legal, tax or benefits advice, and it is not a substitute for speaking with a clinician who knows the person you are caring for.
5.2 No relationship is created by using the Site. Reading the Site, submitting a form or receiving a reply does not create a care relationship, a nurse-patient relationship or any duty to provide care. A care relationship begins only after assessment, agreement on a plan of care and the paperwork that applies to it.
5.3 Physician orders. Therapy, skilled nursing and certain other services require a written physician order in New York. Information on the Site does not replace or change any order, plan of care or instruction from a clinician.
Section 6Prices, coverage and eligibility
6.1 Published prices. ProLife publishes prices for some services, which few agencies in New York do. Those prices are for private pay, apply to the areas named alongside them, and are confirmed on the call before anything is scheduled. Travel time and staffing differ across the city, and a price shown for one borough does not apply to another.
6.2 No guarantee of coverage. Descriptions of Medicaid, Medicaid Managed Long-Term Care, CDPAP, Medicare, long-term care insurance or private pay are general. They do not guarantee eligibility, enrolment, authorisation, hours, timelines, or that care will cost you nothing. Coverage is decided by the programme or plan under rules that change without our involvement.
6.3 Licensing. ProLife is a Licensed Home Care Services Agency (LHCSA), operating certificate NY DOH License #2572L001. We are not a Certified Home Health Agency (CHHA) and we do not bill Medicare directly. Our licence and the services on it are public on the New York State Health Profiles listing. ProLife is also a New York State Medicaid Lead Fiscal Intermediary for CDPAP.
6.4 Availability. Descriptions of services, languages, response times and service areas do not mean that a particular service, caregiver, therapist or language is available for your case at a given moment.
Section 7What you send us
7.1 Keep medical detail off the forms. Our forms ask for a name, a phone number and, where relevant, a ZIP code and the kind of care needed. That is deliberate. Do not send diagnoses, medication lists, insurance numbers, Social Security numbers or other protected health information through website forms or ordinary email: those channels are not encrypted end to end. We will take those details on the call.
7.2 Health information. Where we do hold protected health information, its use and disclosure is governed by HIPAA, New York law and our Notice of Privacy Practices, not by these Terms.
7.3 Your submissions. You are responsible for what you send and confirm that you have the right to send it. You allow us to use what you submit in order to answer your enquiry, arrange care, process an application, keep records and meet legal obligations.
7.4 Feedback. If you suggest an improvement to the Site or our services, we may use that suggestion without obligation to you. Any personal or health information in it remains protected by the laws above.
7.5 What we may do with it. What you send stays yours. To handle it at all we need permission to use it, so by sending it you allow us to store, copy, translate and process it for the purposes in 7.3. If you send us a message of thanks or a review and we would like to quote it publicly, we will ask you first and agree the wording with you.
7.6 We do not have to publish or keep anything. We may decline, edit or remove anything submitted through the Site, and we are not obliged to check what comes in. If something arrives that should not have (another person's details without authority, medical records, abuse), we remove it.
7.7 What you confirm when you send something. That you have the right to send it; that where it concerns another person you have their permission or the legal authority; that it is accurate as far as you know; and that it is not unlawful, offensive or someone else's property.
Section 8Privacy and cookies
Our handling of personal information is described in our Privacy Policy and, where it applies, our Notice of Privacy Practices. The Site may use cookies and similar technologies; where the law requires consent, we will ask for it. The Site is intended for users in the United States.
Section 9Disclaimers and limitation of liability
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS OR UNINTERRUPTED OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROLIFE HOME CARE, INC. AND ITS OFFICERS, EMPLOYEES, CAREGIVERS, CLINICIANS AND CONTRACTORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM USE OF THE SITE OR RELIANCE ON INFORMATION PUBLISHED ON IT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF PROLIFE HOME CARE, INC. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED [СУММА · СТАВИТ ЮРИСТ] IN THE AGGREGATE. THIS CAP APPLIES TO THE WEBSITE ONLY. IT DOES NOT APPLY TO THE CARE WE PROVIDE, TO OUR OBLIGATIONS AS A LICENSED HOME CARE SERVICES AGENCY, OR TO ANY LIABILITY THAT CANNOT BE CAPPED UNDER NEW YORK LAW.
NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER NEW YORK LAW, INCLUDING LIABILITY FOR THE CARE WE ACTUALLY PROVIDE. THAT CARE IS GOVERNED BY OUR SERVICE AGREEMENT WITH YOU AND BY THE REGULATIONS THAT APPLY TO LICENSED HOME CARE AGENCIES IN NEW YORK.
Indemnity. To the maximum extent permitted by law, if you give us information about another person without that person's authority, you agree to hold ProLife harmless from any claim that person brings against us because of it.
Section 10Governing law and disputes
10.1 Law and courts. These Terms are governed by the laws of the State of New York. Disputes arising from the Site or these Terms will be brought in the state or federal courts located in New York.
10.2 Individual claims. To the maximum extent permitted by law, claims relating to the Site must be brought individually. You and ProLife each give up the right to bring or take part in a class, collective, consolidated, representative or mass action about the Site, whether as a named claimant, a class member or otherwise. If a court finds part of this paragraph unenforceable for a particular claim, the rest of it still applies.
10.3 Time limit. To the maximum extent permitted by law, any claim relating to the Site must be brought within one year of when it arose, or it is barred. This applies whatever the claim is based on, unless the law fixes a longer period that cannot be shortened.
10.4 Consumer rights. Nothing here removes protections that cannot be waived under the law where you live.
Section 11Other terms
11.1 Changes. We may update these Terms. The date at the top shows when they last changed. Changes apply from the moment they are posted and do not apply to what happened before.
11.2 Severability. If any part of these Terms is held unenforceable, the rest remains in effect.
11.3 Translations. These Terms may be published in other languages. Any translation is provided for convenience; the English version controls.
11.4 Entire agreement. These Terms, together with our Privacy Policy and any other notice or agreement we post on the Site or sign with you, are the whole agreement between you and ProLife about your use of the Site, and they replace any earlier version of these Terms. Care agreements, plans of care and our Notice of Privacy Practices remain separate and control over these Terms where they conflict.
11.5 No waiver. If we do not enforce something once, that does not mean we give up the right to enforce it later.
11.6 Transfer. You may not transfer your rights under these Terms to anyone else. We may transfer ours, for example if the business is sold, and these Terms carry over.
11.7 We are not each other's agent. Using the Site does not make you and ProLife partners, and it does not make either of us the other's representative. It also does not, by itself, create a care relationship: that takes assessment and paperwork, as Section 5 explains.
11.8 What survives. Sections that by their nature should outlast your use of the Site keep applying afterwards: ownership of content, what you send us, disclaimers, limitation of liability, indemnity, and governing law.
